Responsibilities Advise on the design, implementation, administration, and governance of employee compensation, health and welfare, and retirement benefit plans. Monitor and interpret legislative and regulatory developments affecting compensation and benefits programs.
Advise on 401(k) and welfare plan governance, fiduciary oversight, and related ERISA matters. Ensure compliance with ERISA, the Internal Revenue Code, ACA, HIPAA, COBRA, and other applicable laws and regulations. Support M&A activity in close collaboration with Human Resources.
Provide legal advice on compensation-related disclosure and corporate governance matters. Support Section 16 compliance. Advise on insider trading compliance. Assist with Nasdaq listing standards and corporate governance requirements. Advise on executive and equity compensation aspects of M&A activity.
Supervise a paralegal supporting subsidiary management. Partner closely with Finance, Human Resources, payroll, tax, treasury, and accounting on global equity incentive plans.
Requirements Juris Doctor degree and in good standing to practice law in the applicable state. 8 years of relevant experience and education, including with a top-tier law firm. Sound legal and business judgment. Strong communication and interpersonal skills. Highly organized and detail‑oriented. Proactive problem‑solver.
